    FPI Category Guidelines

    Any applicant seeking registration as a foreign portfolio investor may apply in one of the categories as per the revised operational guidelines issued by SEBI in 2019

    Category I:

    - Government/ government related investors like centralized banks or sovereign wealth funds.

    - Pension funds and university funds.

    - Appropriately regulated funds / entities such as banks, mutual funds, insurance companies, portfolio managers etc.

    - Entities / establishments from FATF member countries.

    - Unregulated funds where investment manager is from FATF countries.

    SEBI fees: $3,000
    Category II:

    - Regulated Funds that cannot be registered as Category I FPI

    - Charitable organizations

    - Family offices and Trusts

    - Individuals (other than NRI / OCI /RI)

    - Funds from non-FATF member countries

    - Endowments and foundations

    - Entities considered appropriate as per SEBI guidelines.

    FPI FAQs

    "Category I foreign portfolio investor" shall include
    1. Government and Government related investors such as central banks, sovereign wealth funds, international or multilateral organizations or agencies including entities controlled (or at least 75% directly or indirectly owned) by such Government and Government related investor(s)
    2. Pension funds and university funds
    3. Appropriately regulated entities such as insurance or reinsurance entities, banks, asset management companies, investment managers, investment advisors, portfolio managers, broker dealers and swap dealers
    4. Entities from the Financial Action Task Force member countries or from any country specified by the Central Government by an order or by way of an agreement or treaty with other sovereign Governments which are –
      • appropriately regulated funds
      • unregulated funds whose investment manager is appropriately regulated and registered as a - Category I FPI:
        Provided that the investment manager undertakes the responsibility of all the acts of commission or omission of such unregulated fund
      • university related endowments of such universities that have been in existence for more than five years
    5. An entity whose investment manager is from FATF member country and such an investment manager is registered as a Category I FPI; or which is at least 75% owned, directly or indirectly by another entity, eligible under (ii), (iii) and (iv) above and such an eligible entity is from FATF member country.


    “Category II foreign portfolio investor" shall include all the investors not eligible under Category I foreign portfolio investors such as –
    1. appropriately regulated funds not eligible as Category-I foreign portfolio investor
    2. endowments and foundations
    3. charitable organisations
    4. corporate bodies
    5. family offices
    6. Individuals
    7. appropriately regulated entities investing on behalf of their client, as per conditions specified by the Board from time to time
    8. Unregulated funds in the form of limited partnership and trusts
    Yes, entities operating in IFSC can register as FPIs.
    No. FPIs would not require direct registration from SEBI and they would be henceforth subject to registration being granted by a Designated Depository Participant (DDP) on behalf of SEBI.
    A foreign portfolio investor shall invest only in the following securities, namely-

    • Shares, debentures and warrants issued by a body corporate; listed or to be listed on a recognized stock exchange in India.
    • Units of schemes launched by mutual funds under Chapter V, VI-A and VI-B of the Securities and Exchange Board of India (Mutual Fund) Regulations, 1996.
    • Units of schemes floated by a Collective Investment Scheme in accordance with the Securities and Exchange Board of India (Collective Investment Schemes) Regulations, 1999
    • Derivatives traded on a recognized stock exchange
    • Units of real estate investment trusts, infrastructure investment trusts and units of Category III Alternative Investment Funds registered with the Board.
    • Indian Depository Receipts
    • Any debt securities or other instruments as permitted by the Reserve Bank of India for foreign portfolio investors to invest in from time to time
    • Such other instruments as specified by the Board from time to time.
    As per the FPI Regulations issued by SEBI, NRI / OCI / RI are not eligible to obtain registration as FPI in India.
