20-Mar-2024 26-Mar-2024 R K Swamy Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 26/03/2024 inter alia to consider and approve Pursuant to Regulation 29 of the SEBI (Listing Obligations and Disclosures Requirements) Regulations 2015 it is hereby informed that a meeting of the Board of Directors of R K Swamy Limited (the Company) will be held on Tuesday March 26 2024 inter alia to consider and approve the Un-Audited financial results (Standalone and Consolidated) along with Limited Review Report by Statutory Auditor for the quarter and nine months period ended on December 31 2023. Further pursuant to the provisions of the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations 2015 and as per the terms of 'Code of Conduct for Regulating Monitoring and Reporting of Trading by Insiders' (Code') of the Company the trading window for dealing in the securities of the Company is closed from Tuesday March 12 2024 and the same shall reopen after 48 hours of declaration of the said results for Designated Persons as defined in the Code and the same has been informed to them. Pursuant to Regulation 30 and 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations'), we inform you that the Board of Directors in their Meeting held today i.e. March 26, 2024 through Video Conferencing which commenced at 10.30 AM (IST) and concluded at 12.20 P.M. (IST) have inter alia, considered, approved and taken on record the following: 1. Unaudited Consolidated Financial Results along with the Limited Review Report thereon for the quarter and nine months ended December 31, 2023 (Refer- Annexure- I); 2. Unaudited Standalone Financial Results along with the Limited Review Report thereon for the quarter and nine months ended December 31, 2023 (Refer- Annexure- II); Submission of Standalone and Consolidated Financial Results for the Quarter and Nine Months ended December 31, 2023.
